Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Section 4 of the Corporate Governance Guidelines of The Southern Company (the “Company”) requires that a non-management director tender his or her resignation from the Board of Directors when a change in his or her principal business association occurs. Ms. Dorrit J. Bern, a member of the Company’s Board of Directors, recently resigned from her position as President and Chief Executive Officer of Charming Shoppes, Inc. In accordance with the Corporate Governance Guidelines, Ms. Bern tendered her resignation from the Board of Directors of the Company. The Board of Directors accepted Ms. Bern’s resignation, effective July 21, 2008.
