Item 8.01.  Other Events.

            On March 9, 2005, Inland Real Estate Corporation (the “Company”) issued a press release announcing the acquisitions of Mapleview Shopping Center, a 103,714 square-foot multi-tenant retail center located in Grayslake, Illinois, and Showplace Theatre Center, a 94,860 square-foot multi-tenant retail center located in Crystal Lake, Illinois.  Inland Real Estate Corporation paid an aggregate purchase price of approximately $40.8 million for both properties.  A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated in its entirety in this Item 8.01 disclosure by reference.
