            On September 18, 2007, the Board of Directors adopted an amendment to Article IV, Section 6 of the Company's bylaws to exempt director Gebran S. Anton from the age 75 mandatory retirement provision. The full text of the amended bylaws is attached as Exhibit 3(ii).
