        State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period.

         Bioanalytical Systems, Inc. (the “Company”) is unable to file its Form 10-K for the fiscal year ended September 30, 2002, within the prescribed time period without unreasonable effort and expense. Specifically, the Company is currently in the process of completing its financial statement disclosures surrounding certain events that occurred subsequent to September 30, 2002 related to the refinancing of its debt arrangements, including the review of such disclosures by the Company’s officers and directors.
