Item 8.01. Other Events.
     On January 4, 2010, Olympic Steel, Inc. (the “Company”) entered into an Open Market Sale Agreement (the “Agreement”) with Jefferies & Company, Inc. as sales agent and/or principal (the “Agent”). Under the terms of the Agreement, the Company may issue and sell, from time to time, through the Agent, shares of the Company’s common stock, without par value (the “Common Shares”), having an aggregate offering price of up to $75,000,000 on the terms set forth in the Agreement.
     Sales of the Common Shares, if any, will be made (a) in privately negotiated transactions, (b) as crosses, (c) as block transactions or (d) by any other method or payment permitted by law deemed to be an “at the market” offering as defined in Rule 415 under the Securities Act of 1933, as amended. The Agent will use its commercially reasonable efforts to sell the Common Shares, as instructed by the Company. Under the terms of the Agreement, the Company may also sell Common Shares to the Agent as principal for its own account at a price agreed upon in writing at the time of sale.
