At the annual meeting of shareholders on April 14, 2010, Edsel B. Ford, II; William P. Graves;
Christy F. Harris; and Morteza Hosseini-Kargar were re-elected as directors to hold office until
the annual meeting of shareholders to be held in 2013.

On April 14, 2010 the Company issued a press release which announced several executive
changes; the declaration of an annual dividend of $0.16 per share, payable on June 30,
2010, to common stockholders of record on February 26, 2010; and reported the
re-election of the directors listed above.
