Item 5.07. Submission of Matters to a Vote of Security Holders.
The following proposals were submitted to the stockholders of Vanda Pharmaceuticals Inc. (the “Company”) at the 2010 Annual Meeting of Stockholders held on June 3, 2010 (the “Annual Meeting”):
     
Proposal 1
  The election of two directors to serve as Class I directors until the 2013 Annual Meeting of Stockholders.
 
   
Proposal 2
  The approval of the material terms of the Company’s 2006 Equity Incentive Plan, as amended.
 
   
Proposal 3
  The ratification of the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2010.
At the Annual Meeting, all three proposals were approved. For more information about the foregoing proposals, see the Company’s definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on April 28, 2010. Abstentions and broker non-votes were counted for purposes of determining whether a quorum was present at the Annual Meeting. Only “FOR” and “AGAINST” votes were counted for purposes of determining the votes received in connection with each proposal, and therefore broker non-votes and abstentions had no effect on determining whether the affirmative vote constituted a majority of the shares present or represented by proxy and voting at the Annual Meeting.
The results of the voting were as follows:
     
Proposal 1
  Election of Directors.
Directors are elected by a plurality of the votes cast at the Annual Meeting, meaning that the two nominees who were properly nominated and received the highest number of votes “FOR” were elected. The two individuals listed below received the highest number of votes “FOR”:

Proposal 2
  Approval of the material terms of the Company’s 2006 Equity Incentive Plan, as amended.
Approval of the material terms of the Company’s 2006 Equity Incentive Plan, as amended, required a “FOR” vote from a majority of the outstanding shares that were present in person, or represented by proxy, and cast either affirmatively or negatively at the Annual Meeting. Abstentions and broker non-votes had no effect on the proposal.
