Item 8.01 Other Events.
On August 6, 2010, NaviSite, Inc. issued a press release announcing that the special committee
of its board of directors has unanimously rejected the July 12, 2010 unsolicited, conditional
proposal by Atlantic Investors, LLC to purchase all of the outstanding shares of common stock of
NaviSite not owned by Atlantic for $3.05 per share. A copy of the press release is filed as Exhibit
99.1 to this Current Report on Form 8-K and is incorporated into this Item 8.01 by reference.
