Item 3.01   Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
     On June 14, 2011, Centrue Financial Corporation (the “Company”) announced that it was delisting its common stock from the Nasdaq Global Market and that it expects that the stock will begin trading on the OTCQB Marketplace effective June 24, 2011. A copy of the Company’s press release describing its reasons for its decision and additional details is attached as Exhibit 99.1 and the information in the press release is incorporated by reference into this report.
