Item 8.01 Other Events

In early November 2005, results from a foreign income tax audit examination were concluded, and, as a result, the Company reversed previously accrued tax reserves giving rise to a $0.3 million benefit that was reflected in the tax provision for the three months ended September 30, 2005. For further information, please see the Company’s Form 10-Q for the quarterly period ended September 30, 2005.
