Item 2.02. Results of Operations and Financial Condition.
On October 12, 2006, Centex Corporation, a Nevada corporation (the Corporation), announced
preliminary results of operations for the quarter ended September 30, 2006. The Corporation
announced its estimate of housing operating earnings, home closing and sales (orders) for the
quarter. A copy of the Corporations press release announcing these results is being furnished as
Exhibit 99.1 hereto and is hereby incorporated in this Item 2.02 in its entirety by reference.
The information furnished in this Item 2.02 shall not be deemed filed for purposes of Section 18
of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that

Item 8.01. Other Events.
On October 12, 2006, Centex Corporation, a Nevada corporation (the Corporation), announced that
it is revising its estimate of diluted earnings per share from continuing operations for the
quarter ended September 30, 2006 to a range of $0.65 to $0.75. A copy of the Corporations press
release announcing this information is being furnished as Exhibit 99.1 hereto.
