ITEM 7.01 REGULATION FD DISCLOSURE

On June 25, 2008, Ashford Hospitality Trust, Inc. (the “Company”) issued a press release announcing that it has refinanced its $73.5 million loan with MetLife. The new $53.4 million interest only loan, which can be prepaid without penalty, has an interest rate of 200 basis points over LIBOR and matures in July 2011.

On June 26, 2008, the Company issued a press release announcing that it has closed on the sale of the Hilton Dallas Lincoln Centre in Dallas for $72.25 million in cash.
