Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 11 and 13, 2009, the board of directors of Mariner Energy, Inc. (“Mariner”) approved bonuses for executive officers in respect of 2008 and base salaries for 2009.

The table below reports 2008 bonus and total compensation amounts for each person serving as Mariner’s principal executive officer and principal financial officer during 2008, as well as its three other most highly compensated executive officers serving as of December 31, 2008. The bonus amounts had not been determined as of the latest practicable date before Mariner filed its definitive proxy statement on April 7, 2009 containing the 2008 Summary Compensation Table. Total compensation reported in that table for 2008 has been updated below to include the 2008 bonus amounts.
