| (a) | William H. Rastetter, Ph.D., the registrant’s Executive Chairman, entered into two Rule 10b5-1 sales plans on April 8, 2004. One plan covers shares held in trust and the second plan covers stock options. Sales under the plans are scheduled to take place between June 10, 2004 and December 31, 2005. The maximum number of shares which can be sold under the plans is 184,081. | |||
| (b) | Craig Eric Schneier, the registrant’s Executive Vice President, Human Resources, entered into a Rule 10b5-1 sales plan on April 7, 2004. Sales under the plan are scheduled to take place between June 7, 2004 and May 31, 2005. All of the shares to be sold under the plan are the subject of stock options. The maximum number of shares which can be sold under the plan is 122,500. | |||
