Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
On August 1, 2006, Gregory M. Priest, who retires by rotation as a director of SkillSoft
Public Limited Company (the Company) at the Companys 2006 Annual General Meeting to be held on
September 28, 2006, informed the Companys board of directors (the Board of Directors) that he
will not seek re-election and will retire from the Board of Directors effective as of the date of
the Companys 2006 Annual General Meeting. Mr. Priests decision not to stand for re-election was
not the result of any disagreement with the Company on any matter relating to the Companys
operations, policies or practices.
