Item 2.02 Results of Operations and Financial Condition.
     On February 28, 2008, Chart Industries, Inc. (the “Company”) issued a press release announcing its results for its fourth quarter and the year ended December 31, 2007. A copy of the press release is furnished with this Current Report on Form 8-K as Exhibit 99.1. All information in the press release is furnished and shall not be deemed “filed” with the Securities and Exchange Commission for purposes of Section 18 of the Exchange Act, or otherwise be subject to the liability of that Section, and shall not be deemed to be incorporated by reference into any filing under the Securities Act or the Exchange Act, except to the extent the Company specifically incorporated it by reference. In an effort to provide investors with additional information regarding the Company’s 2007 fiscal results and a meaningful comparison to fiscal year 2006, the press release contains certain earnings per share calculations that are not recognized under generally accepted accounting principles (“GAAP”) and are referred to as “non-GAAP financial measures” in Regulation G under the Securities Act. The Company believes this information, which (i) excludes certain non-recurring expenses in the case of 2007 results and (ii) in the case of 2006 results, provides a pro forma treatment of earnings per share after giving effect to the shares issued in the Company’s third quarter 2006 initial public offering, is of interest to investors and facilitates useful period-to-period comparisons of the Company’s financial results, and this information is used by the Company in evaluating internal performance.
