     Under the Restricted Share Agreements between Arch Capital Group Ltd. and
Robert Clements dated October 23 and November 19, 2001, the Non-Qualified Share
Option Agreement, dated as of October 23, 2001, between Ian Heap and Arch
Capital Group Ltd. and the Non-Qualified Share Option Agreement, dated as of
October 23, 2001, between John Pasquesi and Arch Capital Group Ltd., there are
available a total of 2,455,575 common shares for issuance to such individuals.
