AG Mortgage Investment Trust, Inc. Stockholders Approve Issuance of Common Stock in Merger With Western Asset Mortgage Capital Corporation

AG Mortgage Investment Trust, Inc. (NYSE: MITT) (“MITT”) announced that at the special meeting of stockholders held today its stockholders approved the issuance of MITT’s common stock pursuant to the terms of the previously announced merger agreement with Western Asset Mortgage Capital Corporation (“WMC”). Pursuant to the merger agreement, MITT will acquire WMC through WMC’s merger with and into a wholly owned subsidiary of MITT (the “Merger”). The Merger is expected to close in the fourth quarter of 2023, subject to WMC’s stockholders approving the Merger and the other closing conditions in the merger agreement being satisfied.
